1. Definitions
- "Play Vertical" / "we" / "us" — Play Vertical, the company operating the Program.
- "Program" — The Play Vertical US Creators Program.
- "Creator" — An individual accepted into and participating in the Program.
- "Deliverable" — A single video or carousel post created by the Creator as part of the Program and published on the Platforms.
- "Content" — Any video, image, carousel, text, or other media created by the Creator as part of the Program.
- "Dedicated Account" — A social media account created specifically for Program content, owned and operated by Play Vertical.
- "Platforms" — TikTok, Instagram Reels, YouTube Shorts, and any other platforms specified by Play Vertical.
- "Views" — The total number of views a piece of Content receives within 7 days of publication, as reported by the Platform's native analytics.
- "Week" — Monday through Friday (5 working days).
2. Eligibility & Application
- You must be at least 18 years of age.
- You must be currently living in the US.
- You must be legally authorized to work with US-based companies and receive payments in USD.
- Applications are reviewed within 48 hours. Acceptance is based on content quality, performance metrics, and alignment with Program needs — not follower count.
- Play Vertical reserves the right to accept or reject any application at its sole discretion.
- Upon acceptance, the Creator's first active Week begins on the Monday immediately following the date of acceptance.
3. Program Structure & Obligations
- Creators are required to create Dedicated TikTok & YouTube Accounts, as specified by Play Vertical.
- The required minimum output is 3 Deliverables per day, 5 days per Week (15 Deliverables per Week). This is a contractual obligation.
- Creators must follow provided briefs, hooks, and creative direction while maintaining their authentic voice.
- Play Vertical distributes weekly creative directions, tips, and optimization points via Slack. Creators are expected to apply these to their Content.
- Creators must not promote direct competitors of Program brand clients on the Dedicated Accounts.
- Play Vertical reserves the right to modify briefs, campaign requirements, and creative direction with 7 days' advance notice for material changes.
4. Compensation Structure
Base Pay:
- $500/month, paid weekly, in advance ($125/weekly)
Performance Bonuses (per Deliverable, per Platform, based on 7-day views):
- Reached 50,000 views: $25
- Reached 100,000 views: $50
- Reached 250,000 views: $100
- Reached 500,000 views: $175
- 500,000+ views: $250
Payment Schedule:
- Base pay is processed weekly, in advance, at the start of each Monday via Grade, a payments platform built for creator projects.
- If a Creator fails to deliver the required 15 Deliverables in a given Week, Play Vertical is not obligated to pay base compensation for that Week. Any advance payment already issued for a Week in which the Creator fails to meet the minimum Deliverable requirement will be treated as an overpayment. The outstanding amount will be deducted from the Creator's next weekly payment. If no subsequent payment is due, the Creator must return the overpaid amount within 14 days of written notice.
- Performance bonuses are calculated and paid once per month. A Deliverable's bonus is paid in the monthly run that follows the close of its 7-day view window. If a Deliverable's 7-day window closes in a given calendar month, its bonus is included in that month's payout. If the window closes in the following calendar month, the bonus is included in that month's payout instead.
- Monthly earnings cap: $5,000. Disputed payments must be raised within 14 days of the payment date.
5. Content & Intellectual Property
- Dedicated Account Ownership: All Dedicated Accounts created for Program purposes are owned and operated exclusively by Play Vertical. This includes full administrative access, control over account credentials, the right to post, edit, or remove Content, and ownership of all followers, engagement data, and goodwill associated with the account. The Creator has no ownership claim over any Dedicated Account at any time during or after their participation in the Program.
- Advertising Rights: By participating in the Program, the Creator grants Play Vertical an exclusive, worldwide, perpetual, irrevocable license to use, distribute, publish, republish, promote, and repurpose all Content across any platform, channel, or medium — including but not limited to organic social media, paid advertising, brand client campaigns, and third-party promotional materials — without any additional consent or compensation beyond the agreed Program compensation.
- Post-Termination Rights: Upon termination of a Creator's participation for any reason, Play Vertical retains the right to keep any Dedicated Account active and to continue publishing, promoting, boosting, and running paid advertising using any Content created during the Program, indefinitely and without additional compensation to the Creator.
- Sublicensing: Play Vertical may sublicense Content and Dedicated Account rights to brand clients or partners without additional Creator consent.
- Portfolio Use: The Creator retains the right to showcase Program Content in their personal portfolio for self-promotional purposes only, provided such use does not compete with Play Vertical or its brand clients.
6. Confidentiality & Non-Disclosure
By accepting these Terms, the Creator agrees to keep strictly confidential all information received in connection with the Program, including but not limited to client briefs, brand strategies, campaign details, creative directions, and any other non-public information shared by Play Vertical or its clients via Slack or any other channel.
The Creator agrees not to disclose, share, or use any such confidential information for any purpose outside of their obligations under this Program, during or after their participation. This obligation survives termination of the Creator's participation indefinitely.
7. Independent Contractor Status
- Creators participate in the Program as independent contractors, not employees.
- Play Vertical does not provide employment benefits, insurance, or tax withholding.
- Creators are solely responsible for all tax obligations arising from Program earnings.
- Creators may be required to provide a W-9 form (or equivalent) for tax reporting purposes.
8. Views Counting & Fraud Prevention
- Platform-native analytics are the definitive source for view counts.
- Views are counted within the first 7 days of Content publication.
- Strictly prohibited: purchasing views, using bots or automated services, participating in engagement pods, view-swapping arrangements, or any other artificial inflation of metrics.
- Violation may result in immediate termination, withholding of unpaid earnings, and recovery of prior payments obtained through fraudulent means.
9. Advertising Disclosure
Creators are responsible for complying with all applicable advertising disclosure requirements, including FTC guidelines. This includes using appropriate disclosures such as #ad, #sponsored, or #partner where required by law or platform policies.
10. Data Protection & Privacy
Play Vertical processes Creator personal data in accordance with our Privacy Policy. Creator data is retained during participation plus 5 years for tax and legal compliance. Contact information is used exclusively for Program-related operational purposes.
11. Termination
- The Creator may terminate participation at any time. Any advance payment issued for a Week not yet completed will be subject to clawback as described in Section 4.
- Play Vertical may terminate a Creator's participation with or without cause.
- Upon termination, all Dedicated Accounts and all Content published on them remain the property of Play Vertical, including the right to keep accounts active and run paid advertising.
- The Creator retains portfolio usage rights as described in Section 5.
- All earned and verified base pay and bonuses will be paid out according to the normal payment schedule.
- Sections 5 (IP), 6 (Confidentiality), 7 (Contractor Status), 10 (Data Protection), 12 (Liability), and 13 (Indemnification) survive termination.
12. Limitation of Liability
- Play Vertical's total liability to any Creator is limited to the total amounts disbursed to that Creator in the preceding 3 months.
- Play Vertical is not liable for any indirect, incidental, consequential, or punitive damages.
- Play Vertical is not liable for changes to Platform algorithms, policies, or features that affect Content performance or visibility.
- Earnings are not guaranteed. Past performance does not guarantee future results.
13. Indemnification
The Creator agrees to indemnify and hold harmless Play Vertical from any claims, damages, losses, or expenses arising from: (a) Content created by the Creator; (b) the Creator's violation of these Terms; (c) the Creator's failure to comply with advertising disclosure requirements; (d) any tax obligations of the Creator.
14. General Provisions
- These Terms constitute the entire agreement between the Creator and Play Vertical regarding the Program.
- Play Vertical may modify these Terms with 14 days' written notice for changes affecting compensation. Other changes take effect upon posting.
- These Terms are governed by the laws of the State of Delaware, United States.
- Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless the Creator opts out within 30 days of acceptance.
- If any provision is found unenforceable, the remaining provisions continue in full force.
- Earnings figures mentioned in Program materials are illustrative and not guarantees of income.
